The websites located at www.atlasformulas.com (the “Websites”) are owned and operated by Ushi, LLC, (d.b.a.) Atlas Formulas and its affiliates (collectively “Atlas Formulas”, “we”, “us,” or “our”). Before accessing or using the Websites, please carefully read these Terms and Conditions (the “Terms”), as they form a legally binding agreement between you and Atlas Formulas and govern your access to and use of these Websites, any order you place, and your use of our products (collectively, “Your Use”).

IMPORTANT NOTICE: THESE TERMS CONTAIN AN AGREEMENT TO ARBITRATE AND A CLASS ACTION WAIVER. IT REQUIRES YOU TO RESOLVE DISPUTES WITH ATLAS FORMULAS ON AN INDIVIDUAL BASIS THROUGH FINAL AND BINDING ARBITRATION. PLEASE READ SECTION 2 CAREFULLY.

1. ELIGIBILITY

In order to use the Websites, you must be 18 years or older and have the power to enter into a binding contract with us. The Websites are not intended for children under the age of 18. By using the Websites, you affirm that you are at least 18 years old.

2. MANDATORY BINDING ARBITRATION AND CLASS ACTION WAIVER

  • Agreement to Arbitrate: Except where prohibited by law, you agree that all disputes arising out of or relating to any purchase, your relationship to Atlas Formulas, or Your Use of the Websites (collectively, “Disputes”) will be exclusively resolved through confidential, individual, binding arbitration.

  • Waiver of Jury Trial: You acknowledge and agree that you and Atlas Formulas are each waiving the right to a trial by jury.

  • Class Action Waiver: You and Atlas Formulas agree that the parties may only resolve Disputes on an individual basis, and not as a plaintiff or class member in any purported class or representative proceeding.

  • Governing Law: This Agreement to Arbitrate involves interstate commerce and shall be governed by the Federal Arbitration Act. To the extent state law applies, the laws of the State of Delaware shall govern without regard to conflict of law principles.

3. HEALTH AND FDA DISCLAIMER

  • Not Medical Advice: The information provided on the Websites is for informational purposes only and is not intended as medical or healthcare advice, or to be used for medical diagnosis or treatment. Always seek the advice of your physician regarding any medical condition before taking any dietary supplement.

  • Professional Relationship: Atlas Formulas products are designed for use within a direct-professional relationship. Consult with a healthcare provider before use, particularly if you are pregnant, nursing, or have a known medical condition.

4. PURCHASING TERMS & ANTI-RESALE POLICY

  • Personal Use Only: Atlas Formulas only accepts orders for personal or direct-client use.

  • Prohibition on Resale: You cannot resell items offered on the Websites. Resale of Atlas Formulas products on third-party marketplaces (including but not limited to Amazon, eBay, or Walmart Marketplace) is strictly prohibited.

  • Order Cancellation: If we discover you are placing orders with intent to resell, we may immediately cancel your order, suspend your account, and pursue all available legal remedies.

5. USER CONDUCT & INTELLECTUAL PROPERTY

  • Source of Truth: All content on the Websites, including text, graphics, and logos, is the property of Atlas Formulas and constitutes the official "Source of Truth" for the brand.

  • Restrictions: You may not copy, reproduce, or commercially exploit any content from the Websites without our prior written consent. You agree not to use any framing techniques to enclose Atlas Formulas trademarks or logos.

6. USER-GENERATED CONTENT

By submitting reviews, photos, or comments to us, you grant Atlas Formulas a non-exclusive, royalty-free, perpetual, and irrevocable right to use, reproduce, and display such content throughout the world in any media for marketing purposes. You represent that you own all rights to the content you submit.

7. LIMITATION OF LIABILITY

EXCEPT WHERE PROHIBITED BY LAW, USHI, LLC (d.b.a Atlas Formulas) SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE ACTUAL AMOUNT PAID BY YOU FOR THE PRODUCT GIVING RISE TO THE CLAIM.
